1. Agreement to Terms

By accessing or using the Effigate platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the Service or its related systems.
• Transmit any harmful, offensive, or disruptive content through the Service.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use automated tools to scrape, crawl, or extract data from the Service beyond normal API usage.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised use of your account. We are not liable for any loss resulting from unauthorised access due to your failure to secure your credentials.

Each tenant workspace is isolated at the database schema level. Tenant administrators are responsible for managing user access within their workspace, including invitation, role assignment, and removal.

You may not share accounts between multiple individuals. Each user must have a unique login. Enterprise plans may have additional provisions for SSO and directory-based provisioning.

4. Billing and Payments

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in our refund policy or required by applicable law.

We use Stripe as our payment processor. By providing payment details, you authorise us to charge the applicable fees to your selected payment method. In the event of failed payment, we may suspend access to the Service after providing reasonable notice.

We reserve the right to modify pricing with 30 days' advance notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.

You retain all ownership rights to the data you input into the Service. By using the Service, you grant Effigate a limited licence to process your data solely to provide and improve the Service. We will not use your data for any other purpose without your explicit consent.

6. Intellectual Property

The Service, including its design, software, features, and content (excluding your data), is the exclusive property of Effigate and its licensors. All rights not expressly granted are reserved.

You may not use our trademarks, logos, or branding without prior written permission. Any feedback or suggestions you provide may be used by Effigate without obligation or compensation to you.

7. Limitation of Liability

To the maximum extent permitted by law, Effigate and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, data, or business opportunity — arising from your use of the Service.

Our total liability to you for any claim arising under these Terms shall not exceed the fees you paid to us in the 12 months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

8. Termination

You may terminate your account at any time through the platform settings. Upon termination, your access to the Service will end at the conclusion of your current billing period.

We reserve the right to suspend or terminate your account immediately if you breach these Terms or if we determine, in our sole discretion, that continuation of your access poses a risk to the Service or other users. Following termination, your data will be retained for 90 days before permanent deletion, in accordance with our Privacy Policy.

9. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right.
